Internal Audit

The Company’s internal audit is an independent unit directly under the Board of Directors.
The appointment and discharge of internal audit supervisor shall be approved by the audit committee, followed by submission to the board of directors for resolution.
The Company appoints, according to its business size, business condition, management needs, and the provisions of other applicable laws and regulations, qualified persons in an appropriate number as full-time internal auditors.

Key Focus of Audit Operations

• Establishing audit plans according to risks identified and related laws and regulations, and reporting to the audit committee and board of directors for approval, followed by execution of the plans.
• Implementing the audit plans faithfully, so as to assess the internal control systems, and preparing audit reports, annexing working papers and relevant materials.
• Faithfully disclosing any defects and irregularities of the internal control systems discovered in assessment in audit reports and, after having presented the reports, follow up on the matters and prepare follow-up reports, to ensure that the relevant departments have taken appropriate corrective measures in a timely manner.
• Assisting the board of directors and mangers in inspecting and reviewing defects in the internal control systems as well as measuring operational effectiveness and efficiency.
  Making timely recommendations for improvements to ensure the sustained operating effectiveness of the systems and to provide a basis for review and correction.
• The internal auditors shall report audit operations to audit committee on a regular basis, also, attend and deliver a report to a board of directors meeting.
• The internal auditors shall be detached, independent, objective, and impartial, in faithfully performing their duties, and shall exercise due professional care.
• The internal auditors shall pursue continuing education as well as attend internal audit training.
