Corporate Governance Officer

On September 13, 2021, the Company appointed Finance Director, Mr. Wei-neng, Wang, as Corporate Governance Officer, responsible for corporate governance-related matters, including handling various functional committees such as the Board of Directors, Audit Committee, Remuneration Committee, and Sustainability Committee in accordance with the law, as well as matters related to shareholders’ meetings.

Corporate governance affairs at a minimum, the following:

1. Handling of matters relating to board of directors meetings and shareholders meetings in compliance with law;
2. Preparation of minutes of the board of directors meetings and shareholders meetings;
3. Assistance in on-boarding and continuing education of the directors and supervisors;
4. Provision of information required for performance of duties by the directors and supervisors;
5. Assistance in the directors’ and supervisors’ compliance of law; and
6. Reporting to the board of directors of its examination results as to whether the qualifications of independent directors upon their nomination and election and during their tenure conform to applicable laws and regulations;
7. Addressing matter pertaining of changes of directors;
8. Other matters described or established in the articles of incorporation or under contract.

2025 Corporate Governance implement status:

1. Assisted independent directors and general directors to perform job duties, provided necessary documents and arranged continuing education for the directors.
2. Provided periodic notices to members of the board of directors about the amendments and developments of the latest laws and regulations related to the field of corporate operations and corporate governance.
3. Provided company information necessary for directors, maintained the smoothness of communication and exchange among directors and all business management.
4. After board of directors’ meeting, responsible for verifying the announcements of significant information about important board resolutions in order to ensure the legality and accuracy of the significant information content and to ensure the propriety of the investor transaction information etc.
5. Apply liability insurance for directors, and reported to the board of directors after the renewal of insurance policies.
6. Notify all directors one day before the start of the closed period before the announcement of each quarterly financial report, reminding them not to trade their stocks 30 days before the announcement of the annual financial report and 15 days before the announcement of each quarterly financial report.
7. Arrange for directors to communicate with major shareholders, institutional investors or general shareholders as needed to build relationships with investors, so that investors can obtain sufficient information to evaluate and determine the reasonable capital market value of the company, and ensure that shareholders’ rights and interests are well protected.
8. Prepare the agenda for the board of directors and notify the directors seven days in advance, convene the meeting and provide meeting materials. If any topic requires conflict of interest, give advance reminders and complete the minutes of the board of directors meeting within twenty days after the meeting.
9. Register the date of the shareholders’ meeting in advance in accordance with the law, prepare the meeting notice, manual, and minutes within the statutory period, and handle change registration matters when the articles of association are revised or the directors are re-elected.
